Decisions are always taken after consultation with everyone involved. We are committed to responsible leadership and personal responsibility, where together we make dreams come true.

In everything we do, we start with fine intentions, giving trust and taking responsibility. We are convinced of the importance of a win-win relationship with all our stakeholders, both internal and external (customers, suppliers, local residents, shareholders and society).

Our governance structure is also based on transparency, participation and mutual trust. Looking inwards as well as outwards. Taking joint responsibility for the whole. Our employees and shareholders steer the same course, driven by shared values.

Supervisory Board

An Advisory Board was set up at BOSS paints in 2001, with a first priority of properly managing the succession of management from the 2nd to the 3rd generation. Since then, that generational shift has long been completed and the Advisory Board's main focus has shifted to other areas including:

  • a role in advising and challenging the management on policy and strategy

  • monitoring of operational results and financial control

  • ensuring reliable, clear reporting to shareholders.

The Board also has some HRMresponsibilities: hiring, firing, evaluation and remuneration of management, as well as family members working within BOSS.

On 1 January 2024, the Advisory Board became the Supervisory Board. It is currently composed of 1 family director: Klaas Bossuyt as well as 3 external, non-family directors: Mark Vandecruys (owner and executive chairman of Fedrus International and Koiba nv), Hilde Haems (Chief Human Capital Officer AVH) and Frans Colruyt. Hilde Haems chairs the Supervisory Board – Toon Bossuyt (current General Manager) attends the Supervisory Board meetings.

Board

Our board (we call this "the core") consists of the CEO and six members. They are a real team: helping each other, challenging each other, with complementary and multidisciplinary skills. Together, they carry responsibility for the entire organisation. 

The core is supported by the 'core-plus'. These are employees who have strategic responsibility and are committed to thinking/working with the core.

Every employee in our company has a responsibility, a mission. With this philosophy, we hope that no one is limited to doing what they are asked to do. That leads not only to mind-numbing jobs, but also means leaving all the potential, all the ideas and talent of our employees untapped.
